Terms of Service

1. Acceptance of Terms

By accessing or using Fincast ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legal agreement between you and Fincast Inc. ("Fincast," "we," "us," or "our").

2. Description of Service

Fincast is a financial document intelligence platform that provides:

• AI-powered document extraction and processing
• Integration with accounting software (QuickBooks, Xero)
• Bank account aggregation via Plaid
• Automated reconciliation and matching
• Financial data analytics and reporting

3. Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized account access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files or content
• Attempt to access other users' accounts or data
• Reverse engineer or attempt to extract source code
• Use automated tools to scrape or overload the Service
• Resell or redistribute the Service without authorization
• Upload content that infringes intellectual property rights

5. Your Data

You retain all ownership rights to data you upload to Fincast ("Your Data"). By using the Service, you grant us a limited license to:

• Process and store Your Data to provide the Service
• Use anonymized, aggregated data to improve our AI models and service quality
• Create backups for disaster recovery purposes

You are responsible for ensuring you have the right to upload all data to the Service.

6. Third-Party Integrations

The Service integrates with third-party services including Plaid, QuickBooks, and Xero. Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party service availability or data handling.

7. Subscription and Payment

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days notice

Free Trial

We offer a 14-day free trial. No credit card is required for the trial. At the end of the trial, you must subscribe to continue using the Service.

Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period. Data is retained for 30 days after cancellation.

8. AI-Generated Content and Accuracy

The Service uses artificial intelligence to extract data from documents. While we strive for high accuracy:

• AI extraction is not guaranteed to be 100% accurate
• You are responsible for reviewing and verifying extracted data
• We are not liable for errors in AI-generated content or decisions made based on it
• The Service is not a substitute for professional accounting or legal advice

9. Intellectual Property

The Service, including its software, design, and content, is owned by Fincast and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINCAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Fincast, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For non-payment
• If required by law
• If we discontinue the Service (with 90 days notice)

Upon termination, you may request export of Your Data within 30 days.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fincast.
